Tradovera Terms of Use

These Terms of Use govern your access to and use of Tradovera, a web-based trading journal and analytics platform operated by Venvaukt Canada Inc. (“Tradovera,” “we,” “us,” or “our”).

By creating an account, accessing the platform, or using Tradovera, you agree to these Terms. If you do not agree, you must not use the Service.

Canadian privacy principles require personal information to be retained only as long as necessary for the purposes for which it was collected, so the data-retention clause below uses a 30-day active deletion and 90-day backup retention structure. The governing-law clause uses Ontario law and applicable federal Canadian law, which is a common Canadian-style formulation for contracts.

1. Description of the Service

Tradovera is a web-based trading journal, analytics, strategy testing, simulation, and performance-tracking platform.

The Service allows users to record, import, organize, and analyze trading activity, including trade history, performance metrics, screenshots, notes, strategy models, behavioral data, and other trading-related information.

Tradovera does not execute trades, place orders, manage user funds, or provide trade signals.

2. Eligibility

You must be at least 18 years old to use Tradovera.

By using the Service, you confirm that you are legally able to enter into these Terms and that your use of Tradovera complies with all applicable laws and regulations.

Each account is intended for one individual user only. You may not share your login credentials or allow another person to access the Service through your account.

3. Account Registration and Security

To use Tradovera, you may be required to create an account.

You agree to provide accurate and complete information and to keep your account information up to date.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You must notify us immediately if you suspect unauthorized access to your account.

4. Free Demo

Tradovera may offer a Free Demo.

The Free Demo is designed to let users explore the platform using sample or mock data. It does not allow users to journal real trades or use Tradovera as a full trading analytics workspace.

Account creation may be required to access the Free Demo.

We may modify, limit, suspend, or discontinue the Free Demo at any time.

5. Subscriptions and Paid Plans

Tradovera may offer paid subscription plans, including a Pro plan and future plans such as Elite.

The Pro plan may include access to features such as unlimited trades, analytics dashboards, unlimited accounts, broker and prop firm account tracking, strategy breakdown, confluence testing, behavior and emotion tracking, screenshots, notes, and simulation or scenario testing.

The Elite plan is expected to include additional features such as advanced AI trade reviews, AI backtesting, strategy coding, priority support, early feature access, and 1-to-1 coaching. Elite features may change before launch.

Pricing, features, and availability may be updated from time to time.

6. Billing, Cancellation, and No Refunds

Paid subscriptions are billed through our payment processor.

You authorize us and our payment processor to charge the applicable fees for your selected plan.

You may cancel your subscription at any time. After cancellation, you will keep access to your paid plan until the end of your current billing period.

Unless required by applicable law, payments are non-refundable. We do not provide refunds for partial months, unused features, or unused subscription periods.

We may change prices by giving reasonable notice before the change applies.

7. Broker Connections, Imports, and Manual Journaling

Tradovera supports or may support workflows involving MetaTrader 5, cTrader, Tradovate, NinjaTrader, and file imports.

At this stage, Tradovera does not store broker credentials. Broker-related workflows may operate through EA-based connections, file imports, or manual journaling.

You are responsible for verifying that imported, connected, or manually entered data is accurate.

Tradovera is not responsible for incorrect data, missing trades, duplicated trades, broker errors, platform outages, file import errors, EA connection issues, or third-party integration failures.

8. User Content and Trading Data

You may upload, enter, or import trading-related data into Tradovera, including trade history, screenshots, notes, strategy models, emotional tags, behavioral data, account information, and other content.

You retain ownership of your trading data and user content.

By using Tradovera, you grant us a limited right to host, process, analyze, display, and store your data only as necessary to provide, maintain, secure, and improve the Service.

You are responsible for ensuring that the data you upload or enter does not violate any laws, third-party rights, broker terms, prop firm rules, or confidentiality obligations.

9. Data Export and Deletion

You may export your trade history where export features are available.

If you delete your account, Tradovera will delete or anonymize your personal data and trading data from active systems within 30 days, unless we are required or permitted to retain certain information for legal, tax, accounting, security, fraud prevention, or dispute-resolution purposes.

Residual copies may remain in encrypted backups for a limited period and will be deleted or overwritten according to our backup retention schedule, usually within 90 days.

We may retain invoices, payment records, subscription history, fraud-prevention records, security logs, and legal records for as long as required or permitted by applicable law.

10. Aggregated and Anonymized Data

We may use aggregated, anonymized, or de-identified data to improve Tradovera, develop analytics, improve product performance, conduct research, create benchmarks, and improve user experience.

This data will not reasonably identify you as an individual.

11. No Financial Advice

Tradovera is a trading journal, analytics, simulation, and performance-tracking platform.

Tradovera does not provide financial, investment, trading, legal, tax, accounting, or professional advice.

Any analytics, dashboards, simulations, Vera Score, strategy testing, backtesting, performance metrics, AI reviews, or other outputs are provided for informational and educational purposes only.

You are solely responsible for your trading decisions.

12. Trading Risk Disclaimer

Trading financial markets involves significant risk and may result in financial losses.

Past performance does not guarantee future results.

Backtests, simulations, Vera Score, scenario testing, AI reviews, statistical outputs, and platform analytics do not guarantee profitability, future performance, prop firm challenge success, funded account success, or reduced trading risk.

You should not rely on Tradovera as the sole basis for making trading decisions.

You are responsible for evaluating your own risk tolerance, strategy, capital allocation, and compliance with any broker, exchange, regulator, or prop firm rules.

13. Prop Firm Disclaimer

Tradovera may help users organize and analyze trading activity related to broker accounts, prop firm accounts, or personal accounts.

Tradovera does not guarantee that you will pass any prop firm challenge, maintain a funded account, receive payouts, avoid rule violations, or achieve profitability.

You are responsible for reading and complying with the rules of any broker, prop firm, exchange, or trading platform you use.

14. AI Features

Tradovera may offer AI-related features, including AI trade reviews, AI backtesting, strategy coding, or automated analysis.

AI outputs may be inaccurate, incomplete, outdated, or unsuitable for your specific situation.

AI-generated strategy code is provided for testing and educational purposes only. You must independently review, test, validate, and understand any AI-generated output before using it.

You must not use AI-generated strategy code blindly in live trading.

AI features do not provide financial advice, investment advice, trade signals, or guaranteed trading results.

15. Acceptable Use

You agree not to:

  • Share your account with another person;
  • Use Tradovera for illegal, fraudulent, abusive, or harmful purposes;
  • Reverse engineer, copy, reproduce, modify, or resell the Service;
  • Scrape, overload, disrupt, or interfere with the platform;
  • Attempt to bypass security measures;
  • Upload malware, harmful code, or unlawful content;
  • Use Tradovera to violate broker, exchange, regulatory, or prop firm rules;
  • Misrepresent your identity or create fake accounts;
  • Access another user’s data without authorization.

We may suspend or terminate accounts that violate these rules.

16. Intellectual Property

Tradovera, including its software, platform, design, interface, branding, logos, analytics logic, Vera Score, models, dashboards, content, and related materials, is owned by Venvaukt Canada Inc. or its licensors.

These Terms do not transfer any intellectual property rights to you.

You may use Tradovera only for your personal trading journaling, analytics, and performance-review purposes, in accordance with these Terms.

You may not copy, distribute, sell, sublicense, reverse engineer, or create derivative works from Tradovera without our written permission.

17. Service Availability and Changes

We aim to provide a reliable service, but we do not guarantee that Tradovera will always be available, uninterrupted, secure, or error-free.

The Service may be unavailable due to maintenance, updates, bugs, outages, third-party failures, security issues, or events beyond our control.

We may modify, improve, limit, suspend, or discontinue features at any time.

18. Third-Party Services

Tradovera may rely on third-party providers, including payment processors, hosting providers, analytics providers, broker-related tools, file import workflows, or other technical services.

We are not responsible for third-party services, outages, data errors, API issues, payment processor issues, or third-party terms.

Your use of third-party services may be subject to their own terms and privacy policies.

19. Affiliate Program

Tradovera may offer an invite-only affiliate program to selected users, creators, partners, or traders.

Approved affiliates will be subject to separate Affiliate Terms, which must be accepted before participating in the affiliate program.

The Affiliate Terms may include rules regarding eligibility, commissions, payouts, tracking, disclosures, prohibited promotion methods, refunds, chargebacks, self-referrals, and termination.

The Competition Bureau of Canada states that influencers should disclose material connections with businesses, products, or services they promote, so your separate Affiliate Terms should include a clear disclosure requirement.

20. Suspension and Termination

We may suspend or terminate your account if:

  • You violate these Terms;
  • You fail to pay subscription fees;
  • You misuse the Service;
  • You create legal, security, or operational risk;
  • You engage in fraud, abuse, or unauthorized activity;
  • We are required to do so by law.

You may stop using Tradovera at any time and may cancel your subscription according to the cancellation process available in your account or through our payment processor.

21. Disclaimers

Tradovera is provided on an “as is” and “as available” basis.

To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, accuracy, availability, security, and non-infringement.

We do not guarantee that:

  • The Service will be uninterrupted or error-free;
  • Analytics will be accurate or complete;
  • Imported data will always be correct;
  • AI outputs will be reliable;
  • Simulations or backtests will predict future results;
  • You will become profitable;
  • You will pass a prop firm challenge;
  • You will avoid trading losses.

22. Limitation of Liability

To the fullest extent permitted by law, Venvaukt Canada Inc., Tradovera, and their directors, officers, employees, contractors, affiliates, and service providers will not be liable for:

  • Trading losses;
  • Lost profits;
  • Lost opportunities;
  • Prop firm challenge failures;
  • Funded account losses;
  • Incorrect or missing trade data;
  • Broker, platform, EA, API, or integration errors;
  • Payment processor issues;
  • AI-generated errors;
  • Simulation or backtesting inaccuracies;
  • Loss of data;
  • Indirect, incidental, consequential, special, exemplary, or punitive damages.

Your use of Tradovera is at your own risk.

To the fullest extent permitted by law, our total liability for any claim related to the Service will not exceed the amount you paid to Tradovera during the three months before the event giving rise to the claim.

23. Indemnification

You agree to indemnify and hold harmless Venvaukt Canada Inc., Tradovera, and their directors, officers, employees, contractors, affiliates, and service providers from any claims, losses, damages, liabilities, costs, or expenses arising from:

  • Your use of the Service;
  • Your trading decisions;
  • Your violation of these Terms;
  • Your violation of any law or third-party rights;
  • Your uploaded content or trading data;
  • Your violation of broker, exchange, regulator, or prop firm rules.

24. Privacy

Your use of Tradovera is also governed by our Privacy Policy.

The Privacy Policy explains how we collect, use, store, protect, and delete personal information and trading-related data.

If there is a conflict between these Terms and the Privacy Policy regarding personal information, the Privacy Policy will apply to the extent required by applicable privacy law.

25. Changes to These Terms

We may update these Terms from time to time.

If we make material changes, we will provide notice through the Service, by email, or by another reasonable method.

Your continued use of Tradovera after updated Terms become effective means you accept the updated Terms.

If you do not agree with the updated Terms, you must stop using the Service and may cancel your subscription.

26. Governing Law and Jurisdiction

These Terms are governed by and interpreted in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or the use of Tradovera shall be submitted to the exclusive jurisdiction of the courts located in the Province of Ontario, Canada.
